Terms of Use

These Terms apply to individual users of the Service. If a Local Education Agency (an LEA) has a separately signed agreement, order form, statement of work, or purchase order accepted by K12Logic (each, an Order), that Order and any referenced data-processing agreement control if they conflict with these Terms, but only for that LEA and the conflict.

An LEA means a school district, county office of education, charter organization, or similar public education employer. A User is a person who uses the Service. A Customer is the person or entity that purchases, is assigned, or otherwise receives access to the Service.

If you sign up for the Service in your own name and not under an LEA account, you are the Customer for your own account and are personally bound by these Terms. If you use the Service through an LEA account, that LEA is the Customer and you are individually bound by these Terms as a User. A Customer is responsible for its Users' compliance with these Terms.

A User does not bind an LEA merely by creating an account or using the Service as a single user. An LEA is bound only when a User signs up for a district admin account with authority to act for the LEA—including an authorized district administrator—enrolls, purchases, or accepts access to the Service for that LEA as the Customer and provides an authorized Purchase Order (PO). By taking that action, the User represents that they have that authority.

The Service is intended for current LEA employees and other organizations or individuals K12Logic expressly approves. You must provide accurate account information and promptly update it if it changes. We may require registration with an LEA email address or evidence of authorization.

You must keep account credentials confidential, use reasonable care to prevent unauthorized access, and promptly notify us at Kash@k12logic.com of suspected unauthorized use. You are responsible for activity occurring through your account unless caused by K12Logic's breach of these Terms or applicable law.

KA$H helps LEAs compare classification and compensation information, including position titles, salary ranges and schedules, work years, job descriptions, organizational information, and related public records. The Service is an information and workflow tool only. It does not provide legal, labor-relations, collective-bargaining, actuarial, accounting, tax, or human-resources advice.

You are responsible for independently verifying information with its source and obtaining appropriate professional advice before making a classification, compensation, bargaining, personnel, legal, or financial decision. Nothing in the Service creates an attorney-client, fiduciary, employment, or advisory relationship.

As between K12Logic and Customer, Customer retains its rights in Customer Content. Customer grants K12Logic a worldwide, non-exclusive, royalty-free right during the term to host, copy, process, normalize, index, analyze, display, and distribute Customer Content only as necessary to provide and improve the Service, fulfill the reciprocal-sharing purpose described in Section 4, comply with law, and enforce these Terms.

K12Logic retains all rights in the Service, its software, design, documentation, methods, Public Data as compiled by K12Logic, and Derived Data, except to the extent an Order states otherwise. K12Logic may use de-identified and aggregated data that does not identify a Customer, User, or individual to operate, analyze, secure, and improve its products and services. K12Logic will not identify a Customer in a public benchmark or marketing material without its permission. This does not restrict K12Logic from collecting, using, or referring to public information that is readily available through general Internet searches or other public sources, provided that K12Logic does not represent that the LEA is a Customer or imply its endorsement without permission.

Subject to these Terms and payment of applicable fees, K12Logic grants each authorized User a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service during the applicable subscription term for the Customer's internal professional purposes.

You may use the Service only for lawful professional purposes of the Customer. If you are an individual Customer, this means your own professional use; it does not give you authority to act for, submit information for, or bind an LEA unless you are authorized to do so. You will not, and will not allow another person to:

• sell, resell, license, sublicense, publish, redistribute, or otherwise make Service data, reports, exports, or access to the Service available to a third party. A Customer may share those materials only with its own in-house staff and members of its governing board who have a legitimate need to know and who use them solely for the Customer. Except with K12Logic's prior written approval or where required by law, a Customer may not give a third party—including a consultant, adviser, contractor, law firm, accounting firm, researcher, or other service provider—access to the Service or provide that party with Service data, reports, exports, or screenshots. A Customer may not use the Service or Service data to enable a third party's commercial, consulting, advisory, research, publication, data-aggregation, benchmarking, or other independent purpose, whether or not that third party charges a fee. Nothing in this restriction prevents a Customer from creating, filing, publishing, or otherwise disclosing its own reports, analyses, recommendations, conclusions, or other records that are informed by the Service, including records the Customer is required or permitted to make public, provided the Customer does not give the recipient access to the Service or furnish a Service report, export, or other substantial reproduction of Service data as a standalone resource;
• use Service data or outputs to build, train, benchmark, or provide a competing product, dataset, or service;
• share accounts, give access to unauthorized persons, or circumvent access controls, seat limits, credit limits, or usage limits;
• scrape, bulk-extract, harvest, or use bots or automated means to access the Service except through features or interfaces K12Logic expressly provides;
• reverse engineer, decompile, attempt to discover source code, interfere with, disrupt, test the vulnerability of, or degrade the Service;
• upload malicious code or use the Service in a way that violates law or another person's rights; or
• remove proprietary notices or falsely suggest K12Logic endorses you or your Customer.

The Service may include AI-assisted features, including KAI and KAI Pro. AI output can be inaccurate, incomplete, or inappropriate for a particular purpose. It is a starting point for informed human review, not a final work product or professional advice.

Do not submit restricted information to an AI-assisted feature. K12Logic may use service providers to operate AI-assisted features. K12Logic will describe the handling of prompts, uploads, outputs, retention, and any model-training choices in the applicable Privacy Policy, Data Processing Addendum, or feature notice. If those documents offer a Customer control or opt-out, K12Logic will honor it.

AI features may consume credits as displayed in the Service. Unless an Order states otherwise, credits have no cash value and are non-transferable. Credit purchases are covered by our 30-day refund guarantee described in Section 8 and in our Refund Policy. K12Logic may change credit grants, feature availability, or pricing prospectively with notice; changes will not reduce prepaid credits during their stated validity period.

Paid subscriptions, fees, taxes, invoicing, and payment terms are stated in the applicable Order or checkout flow.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics for online orders are additionally governed by the Paddle Checkout Buyer Terms.

Refunds. We offer a 30-day money-back guarantee on online purchases, including subscriptions and credit packs. If you are not satisfied, you may request a full refund within 30 days of the order date. Refunds are processed by Paddle — request one at paddle.net or by contacting Kash@k12logic.com. Free, trial, and pilot access may be limited in scope or duration and may be changed or ended at K12Logic's discretion. Pilot participants will provide reasonable feedback requested during the pilot period. Feedback is voluntary; K12Logic may use it without restriction or compensation, provided it does not identify the Customer publicly without permission.

If a subscription renews automatically, the applicable Order or checkout flow will state the renewal term, renewal price or pricing method, and cancellation method. A Customer may cancel through the account administrator, the method stated in its Order, or by contacting Kash@k12logic.com. Cancellation takes effect at the end of the current paid term unless otherwise stated. We will provide advance notice of a material price increase before it applies to a renewal.

K12Logic's collection and use of personal information is described in its Privacy Policy, which is incorporated into these Terms. The Privacy Policy must be made available in the Service or at the point of collection. Where applicable, a Data Processing Addendum governs the processing of personal information on a Customer's behalf.

K12Logic will maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the personal information it processes. If K12Logic confirms unauthorized access to Customer personal information in its systems, it will notify the affected Customer without undue delay and cooperate reasonably with the Customer's response, consistent with applicable law and the applicable Data Processing Addendum.

K12Logic does not sell personal information. Any use or disclosure of personal information is subject to the Privacy Policy, applicable law, and any applicable Data Processing Addendum.

We work to keep the Service available and secure, but do not guarantee uninterrupted or error-free operation. We may maintain, modify, or discontinue features. For paid subscriptions, we will not materially reduce core paid functionality during a current term without reasonable notice, except when needed for security, legal compliance, or to address material operational risk.

You may stop using the Service at any time; however, stopping use does not cancel your subscription or relieve the Customer of fees due through the end of the then-current subscription term, unless an Order states otherwise or applicable law requires otherwise. K12Logic may suspend or terminate access if it reasonably believes that you violated these Terms, access creates a security or legal risk, fees are overdue, or the User is no longer eligible. Where practical, K12Logic will give notice and an opportunity to cure before suspension or termination. We may suspend access immediately where delay could harm the Service, a Customer, a User, or another person.

On termination, the license in Section 5 ends. Sections that by their nature should survive, including Sections 3 through 7 and 9 through 14, survive termination.

To the maximum extent permitted by law, the Service, Customer Content, Public Data, Derived Data, AI output, reports, and exports are provided “as is” and “as available.” K12Logic disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free service.

Some jurisdictions do not allow certain warranty disclaimers. In that event, the disclaimer applies only to the extent permitted by law.

To the maximum extent permitted by law, K12Logic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, savings, data, goodwill, bargaining outcomes, litigation outcomes, or personnel decisions, arising out of or related to the Service or these Terms.

To the maximum extent permitted by law, K12Logic's total liability arising out of or related to the Service or these Terms will not exceed the amounts paid to K12Logic by the applicable Customer for the Service in the twelve months before the event giving rise to liability. If no fees were paid, K12Logic's total liability will not exceed one hundred U.S. dollars ($100).

These limitations do not limit liability that cannot be limited by law. An Order may provide different liability terms for a Customer.

Changes to these Terms. We may update these Terms. We will post the updated version date and provide reasonable advance notice of material changes through the Service, by email, or another reasonable method. Material changes will apply at the next renewal for paid Customers unless earlier application is required by law or necessary for security or legal compliance. Continued use after the effective date constitutes acceptance where permitted by law.

Governing law and venue. These Terms are governed by California law, excluding conflict-of-laws rules. Except where an Order states otherwise, the state and federal courts located in the county where K12Logic has its principal place of business have exclusive jurisdiction, and the parties consent to that jurisdiction and venue.

Notices. K12Logic may give notices through the Service, the account email address, or another reasonable method. Notices to K12Logic must be sent to Kash@k12logic.com, unless an Order provides a different notice address.

Assignment. You may not assign these Terms without K12Logic's written consent. K12Logic may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets, provided the assignee assumes K12Logic's obligations.

Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, excluding payment obligations.

Entire agreement; severability; waiver. These Terms, the Privacy Policy, any applicable Data Processing Addendum, and any Order are the entire agreement concerning the Service. If a provision is unenforceable, the remaining provisions remain in effect. A waiver must be in writing and applies only to the instance for which it is given.
